Form 1B

One of the Social Stock Exchange's adopted reporting formats, covering general, governance and finance aspects that reference audited financial statements and filings with regulators.

In plain language

Form 1A covers what can be disclosed without waiting for an audit. Form 1B is the form that needs one.

Form 1B covers general and governance aspects, just like Form 1A. But it adds finance too. It points back to audited financial statements. It also points to filings made with other regulators. These include the Income Tax Department, FCRA, the Charity Commissioner, and the Registrar of Societies or Companies.

The list of regulators is long for a reason. NPOs take many legal forms. A trust, a society and a Section 8 company each file with a different registrar. Form 1B has to work for all of them.

How it works

Form 1B sits alongside Form 1A as the second of four SSE reporting formats. Its distinguishing features:

  1. It repeats the general and governance content of Form 1A, but adds a finance dimension on top.
  2. It requires reference to audited financial statements — this is what makes it dependent on the statutory audit being complete, unlike Form 1A.
  3. It requires reference to filings made with multiple regulators, named specifically in the workbook: Income Tax, FCRA, Charity Commissioner, Registrar of Societies, and Registrar of Companies, plus any other applicable regulator.

Because an NPO can be a trust, a society, or a Section 8 company, which regulator's filing is referenced depends on the NPO's actual legal form — a trust references its Charity Commissioner filing, a Section 8 company references its Registrar of Companies filing, and so on. Form 1B is built to handle this variety rather than assuming one fixed legal structure.

A worked example

Karuna NPO, registered as a society, completes its statutory audit in July. It then files Form 1B, which includes:

Had Karuna been structured as a Section 8 company instead of a society, the last line would reference the Registrar of Companies rather than the Registrar of Societies — the form's content adapts to the NPO's actual legal form, while its overall structure stays the same.

Why NISM asks about it

Chapter 9, section 9.2.2, lists Form 1B immediately after Form 1A among the SSE's four adopted reporting formats. Expect a question on what Form 1B adds beyond Form 1A (finance aspects and audited-statement references) and which regulators' filings it may reference.

Common exam traps

  • Form 1B depends on the statutory audit being complete; Form 1A does not. The audit-dependence test is the cleanest way to tell the two apart.
  • Five named regulators appear in the workbook's own list: Income Tax, FCRA, Charity Commissioner, Registrar of Societies, Registrar of Companies — plus "other regulators as applicable." A question naming only two or three as the complete list is incomplete.
  • Which specific regulator's filing is referenced depends on the NPO's legal form — a trust, society and Section 8 company each file with a different one.
  • Form 1B still covers general and governance content, not just finance — it does not replace Form 1A's content, it builds on it.
